DESCRIPTION OF CONTEST: Via online entry only, entrants will have the opportunity to win an Ultimate Business Makeover.
Here is the process that entrants have to follow in order to register for the Ultimate Business Makeover content:
- Click on the registration link on the www.ultimatemakeover.be website
- Entrants will then have to identify themselves by filling in the registration form and self-test published on the
site.
This self-test can be found on the site. Only SMB companies having filled in the registration form and the self-test of the wave will be taken into account for the selection
of the semi-finalists of the same wave.
NB: there are 3 waves in total: Reduce IT risks (5/10/2009 until 13/12/2009), Manage your business (14/12/2009 until 28/2/2010), Save Time (1/3/2010 until 18/4/2010).
- All entrants who will have fulfilled the self-test of a specific wave will be taken into account by the judges as
potential semi-finalist selected during that wave. The judges will choose two (2) semi-finalists per wave. NB: if an entrant was not selected as a semi-finalist during the first wave, he can
still answer the self-test about second wave and will then be taken into account as potential semi-finalist selected during this second wave.
- After the three waves, we will have a total of six (6) semi-finalists. Those six (6) semi-Finalists will receive
a visit from the judges between April 27th, 2010 and May 8th, 2010. After this visit, the judges will select three (3) Finalists among the six (6) semi-finalists. The list
of those finalists will be posted at www.ultimatemakeover.be between May 17th, 2010 and May 30th, 2010 for online
visitors voting to select the winner. The finalist, who will receive the highest number of votes during the time period May 17th, 2009 and May 30th, 2010 midnight, will
win the Ultimate Business Makeover contest and will win the following products and services:
- 12 new HP clients (desktops/laptops) with Windows 7 Professional licenses pre-installed on the HP machines
(NB: if the winner is using less than 12 PC’s at the date of May 30th, 2010, he will win the equivalent number of new desktops/laptops but not more)
- Two (2) new HP ProLiant servers. One will be delivered with the Small Business Server 2008 Premium Edition pre-installed.
The second one will be used for installing other software such as SharePoint Portal Server 2007, Dynamics ERP solution and/or the Dynamics CRM solution.
- HP printers for a maximum amount of 4000 euros VAT excluded
- One (1) new Open Value licensing contract including the following Microsoft licenses (with a maximum of 30
per product):
o the Software Assurance (SA) licenses for the Windows 7 professional, that will be delivered pre-installed on the HP laptops

NB: this contract is a 3-years contract but the total of the contract will be offered for free to the winning company. Only licenses that would be added by the customer during the contract
period would have to be paid by him. However, depending on the situation at the winning company, the Open value contract could be replaced by FPP boxes for the same products.

- NB2: the value of the global prize will depend on the size of the winner. The amount of 200.000€ communicated is
an estimation based on a simulation at a company with 30 employees.
HOW TO ENTER: No purchase necessary to enter, play or win. A purchase will not increase your chance of winning. See here above for the description of the registration
process.
During the three waves, some other activities will be organized on the website www.ultimatemakeover.be. For example: “quick games”,
polls, webinars …. Entrants will be able to participate to those activities and will also be able to write their comments on articles, testimonials …. Participation to those activities is optional
and not required for entry. However, the jury will pay attention to the participation of the entrants to those activities because the jury is looking for some proactive entrants. Participation
to those activities and on the site in general could help the entrants to win some bonus points (see below).
Internet entries will be accepted between October 6th, 2009 and April 18th, 2010 ("Promotional Time Period"). Internet entries and participation to activities
will be screened for compliance with contest requirements; incomplete or non-complying entries will be disqualified. Limit one (1) entry per company (= per VAT number). The “Sponsors”
(= Microsoft NV ("Microsoft"), Hewlett-Packard Company ("HP"), Belgacom, Proximus, Luon, ING, Nespresso, Buro Market, Akzo Nobel, Partena, Nuance Communications International,
Isabel, , Plataan, , Instima, Kompass, Natch, Queromedia) and each of their respective parent companies, subsidiaries, affiliates, sales representatives, agencies, retailers, wholesalers, distributors
and promotional and other vendor agencies involved in this contest are not responsible for lost, late or misdirected entries. As a condition of entry, entrant agrees to assign all rights and
interest in essay, to the sponsors and each of their parent companies and subsidiaries. Completed agreement assigning/licensing all ownership and intellectual property rights may be required
as a condition of being named a Semi-Finalist, Finalist and/or Grand Prize Winner, or prize will be forfeited and alternate Prize Winner chosen. Grand Prize Winner must be able and willing to
participate in appearances, etc. if requested by Microsoft and if he/she cannot, then he/she should not enter.
Companies that are official resellers of the sponsors of this contest are not allowed to register to the contest.
ADDITIONAL CRITERIA FOR ENTRY: At time of entry, the company willing to win the Ultimate Business Makeover must have between 1 and 250
PC’s, have high speed internet access, have no known structural, electric, or safety issues, and have a maximum of 3 sites in Belgium. No site outside of Belgium will be taken into account for
the contest. Entry must be entrant’s original creation and must not include copyrighted or trademarked material. Entry requiring license or usage rights from any third party is not eligible.
Submission cannot defame or invade the rights or privacy of any person, living or deceased, or otherwise infringe upon any third party’s personal, proprietary or intellectual rights. Submission
must be consistent with the Microsoft brand reputation in the marketplace and must be suitable for audiences of all ages. Entries which, in the judges’ sole discretion, contain any type of vulgarity
or objectionable content including without limitation content that defames, misrepresents or contains disparaging remarks about people or companies will be disqualified. Entries that exceed specified
word limits will be disqualified. Entries that do not meet these stated criteria, or entries that (in the judges’ sole discretion) may technically meet the stated criteria but do not reflect
the intent and the spirit of the provisions related to participation, are not eligible.
ELIGIBILITY: Participating entrant must be 18 years of age or older, possess a valid email address, possess a valid VAT number in Belgium and be a legal resident
of Belgium at time of entry. Employees of the Sponsors and each of their respective parent companies, subsidiaries, affiliates, sales representatives, agencies, retailers, wholesalers, distributors,
and promotional and other vendor agencies involved in the promotion are NOT eligible; nor are the immediate family members (parent, spouse, child, sibling) of such employees,
nor are the members of the immediate household of such employees, whether or not related. Contest is subject to all federal, regional and local laws and regulations. Void where prohibited or
restricted by law.
SEMI-FINALIST JUDGING CRITERIA, SELECTION AND NOTIFICATION: This is not a game of chance. Odds of winning depend on the number and quality of entries received.
Entries will be screened and judged as they are received. Judges will select up to six (6) Semi-Finalists maximum from among all eligible entries received during the Promotional Time Period.
The judges will choose two (2) semi-finalists per wave. There are 3 waves in total: Reduce IT risks (5/10/2009 until 13/12/2009), Manage your business (14/12/2009 until 28/2/2010),
Save Time (1/3/2010 until 18/4/2010). Semi-Finalist judging will be completed on or about April 30th, 2010. The judging panel will consist of marketing
and/or public relations representatives from the main sponsors (Microsoft (2 votes), HP (1 vote), Belgacom/Proximus (1 vote), Partena (1 vote), Electrabel (1 vote), Nuance (1 vote), ING (1 vote),
and Kompass (1 vote).
All entries will be evaluated on a 100 point scale + an optional 10 bonus points scale, as follows:
· A maximum of 40 points for the quality of self-analysis by the candidate of its ICT needs through the
self-tests questions organized during each of the waves
· A maximum of 40 points for the creative and positive answers that the entrant will give to the open questions
asked through the self-tests (e.g.: the description of how an Ultimate BUSINESS Makeover with more efficient technology would improve his/her overall business lifestyle.)
· A maximum of 20 points for appropriateness to Major Sponsors
· Optional: A maximum of 10 bonus points for the participation to activities organized
through the site (polls, webinars, quick games…). Participation to those activities is optional and not required as part of entry.
The entries with the highest point totals will be selected as the up to six (6) potential Semi-Finalists, subject to confirmation of eligibility and provided that any entry may be eliminated,
regardless of point total, in the judges’ or Sponsor’s sole discretion (i) if it is not consistent with the sponsors’ reputation in the marketplace, including its reputation for quality and integrity,
(ii) if it does not reflect the goals of the promotion, (iii) if the language of the entry is not suitable for all ages or (iv) if the entry is so deficient in grammar, spelling, sentence structure
or content as to be unclear or inappropriate. In the event of ties in point totals among Semi-finalists, judges will revisit the tied entries and choose as potential Semi-Finalists the entries
that best reflect all criteria as a whole. At the end of April 2009, the six (6) potential Semi-Finalists will be notified by phone. In the event the winner is not home and a message is left,
the potential semi-finalist will be required to return the call within 24 hours of notification to accept the prize. If the call is not returned within 24 hours, the Sponsor may declare the prize
forfeited and another winner may be chosen. Completion of an Affidavit of Eligibility, Publicity Release, Mutually-Agreeable Liability Release and required tax documents within six (6)
calendar days of first attempted notification of prize or Sponsor may declare prize forfeited and another potential Semi-Finalist may be chosen. Potential Semi-Finalists must also agree
to undergo a background check as part of the verification process, and Sponsor may disqualify any Semi-Finalist, whether or not already announced or posted, if the results of the background check
in Sponsor’s sole discretion render the Semi-Finalist ineligible or inappropriate for further participation or prizing. This background check will be done by the judges by visiting the six (6)
semi-finalists between May 3rd, 2010 and May 7th, 2010. Proof or verification of identity and qualification may be required. Semi-Finalists are subject to the Assignment
of Rights provision below. Failure to comply with any of the documentation, verification and agreement requirements may result in forfeiture of prize and the selection of another potential Semi-Finalist.
After the visits to the six (6) semi-finalists by the jury, the jury will choose the three (3) finalists. This choice will occur on May 11th, 2009. The list of those three
(3) finalists with their complete profiles will be published on the www.ultimatemakeover.be website between May 17th,
2010 and May 30th, 2010 so that online visitors can vote for the candidate of their choice. Details hereunder.
ONLINE VOTING TO DETERMINE GRAND PRIZE WINNER: The three (3) Finalists’ profiles will be featured at www.ultimatemakeover.be between
May 17th, 2010 and May 30th, 2010 for voting by website viewers. Vote totals will determine who the winner is. The winner will be the finalist who will have collected the
highest number of unique online votes during the specified period mentioned. There is no limit to the number of votes that may be cast but only one vote per unique viewer will be allowed. Based
on point standings at the conclusion of voting, the Grand Prize Winner will be announced and posted online at www.ultimatemakeover.be at
the beginning of June 2010. In the event of a tie in point standings, the entries involved will be re-judged by an additional judge from Microsoft who will serve as the tie-breaker and who will
evaluate entries according to the same judging criteria as used to determine the Semi-Finalists.
The potential Grand Prize Winner will be notified on May 31st, 2010 by phone. The potential Grand Prize Winner must within one (1) calendar day of first attempted
notification (a) comply with the "Assignment of Rights" provisions of these rules, (b) complete an Affidavit of Eligibility, Publicity Release, Mutually-Agreeable Liability Release
and required tax documents and (c) provide Sponsor with verification that Grand Prize Winner is the rightful owner of the property at the address listed on the Official Online Entry Form in a
form satisfactory to Sponsors (i.e., property deed,). Failure to comply may result in disqualification and selection of another potential Grand Prize Winner. Prize award is subject to sound structure,
building codes and other physical or legal restrictions that prevent the makeover as intended, if accommodation cannot be made, Winner agrees to cooperate in obtaining any required licenses or
permits. Sponsors may disqualify the selected Grand Prize winner (even if announced) and seek an alternate winner, time permitting.
REFER FOR PROPOSAL BY WINNER and CHOICE OF THE IMPLEMENTATION PARTNER
At the beginning of June 2010, we will then inform our Small Business Specialists and Certified Partners and Gold Certified Partners (who will have participated to the contest by organizing
at least two “Ultimate BUSINESSMakeover” seminars about ICT topics during the contest) about who the winner is and what his current ICT infrastructure is. Those partners will then have some time
until June 26th to provide Microsoft with their written proposals containing the details of the hardware and software implementation. Microsoft will then select the best complete answers
and will inform the partners before July 10th, 2010.
The selected partners will then get the chance to go and present their proposal to the winner. Those presentations will occur between July 13th and July 31st. The
winner will decide himself which partner he chooses for the implementation on July 31st at the latest.
Ultimate BUSINESSMakeover IMPLEMENTATION: The Ultimate Business Makeover will take place in the office space depicted in entrant’s entry and located at the property
address listed on the Grand Prize Winner’s Official Online Entry Form between approximately August 3rd , 2010 and September 4th, 2010.
The chosen partner will have to give the first 32 hours of implementation for free. Microsoft will then fund a maximum of up to ten (10) additional implementation days at a maximum day
price of 700 euros. If the total implementation requires additional implementation days, the winner will have to pay for those additional days. The chosen partner will be able to negotiate the
sales of additional hours and the sales of a Services Level Agreement (SLA) with the winner. This SLA is not part of the price of the contest and will have to be paid by the winner to the partner
based on the price they will negotiate.
The partner who will do the implementation will receive a lot of visibility in the medias during the implementation phase but also during the post-implementation phase.
The winner will also receive some free trainings about the new Microsoft softwares installed (Vista, Office, Dynamics, …). Trainings will be organized by our sponsors Guidance and Plataan just after the implementation. If more additional trainings are required by the winner, those additional days will have to be paid by him.
Taxes on a prize are the sole responsibility of the winner. Any and all guarantees and warranties for merchandise prizes are subject to the manufacturer’s and/or service providers terms
and conditions, and winners agree to look solely to such manufacturers and/or service providers for any warranty or guarantee claim. Prizes are non-transferable and no substitution or cash equivalent
is allowed except in Sponsor’s sole discretion. Sponsor reserves the right to substitute prizes of the same approximate retail value. Prize consists only of items specifically listed as part
of the prize. All costs and expenses not specified herein, related to any prize, including but not limited to delivery, installation, service activation fees and other expenses incurred by accepting
the prize are the sole responsibility of the Winner.
ASSIGNMENT OF RIGHTS: By entering, contestant explicitly acknowledges and agrees that the Sponsors and their designees reserve the right to publish in any media,
including on-line, any or all content of responses to the essay question with or without first and last name credit to the entrant; and entries that attempt to restrict this right will not be
considered. All entries become the property of Microsoft and Microsoft shall hold all copyright, ownership, title and right thereto. An entrant’s submission of an entry constitutes permission
for the Sponsors and their designees to use the entrant’s name, answers and other material provided in the entry for any purpose, including for promotional purposes in any media without compensation.
By entering, contestant explicitly acknowledges and agrees that the Sponsors and each of their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors,
and the officers, directors, employees, agents and representatives of any of the above organizations reserve the right to contact the entrant to discuss commercial and promotional propositions.
This contact can be taken by phone, e-mail or direct mailing.
ONLINE REGISTRATION: If for any reason the Contest, including the online portion, is not capable of running as planned, including disruptions caused by computer
virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other cause that corrupts, affects or compromises the administration, security, fairness, integrity, proper
conduct or intended play of the Contest, Sponsors reserves the right at their sole discretion to cancel, terminate, modify or suspend the Contest, with appropriate alternate method of prize award
selected. Sponsors assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications failure, theft, destruction or unauthorized
access to, or alteration of, entries, including any erroneous appearance of qualification for a prize. Sponsors are not responsible for any problem or technical malfunction of any telephone network
or lines, computer online systems, servers or provider, computer equipment, software, failure of any e-mail or entry to be received by Sponsor due to technical problem or traffic, congestion
on the internet or at any web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation
or downloading any materials in this Contest. WARNING: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION
OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Contest entries
generated by a script, macro or other mechanical or automated means are ineligible and will be disqualified. All entries must include a valid e-mail address and a valid VAT number for the entrant.
In the event of dispute as to the identity or eligibility of a winner based on an e-mail address and/or VAT number, the winning entry will be declared made by the "Authorized Account Holder" of
the e-mail address submitted at the time of the entry. The "Authorized Account Holder" is the person to whom the applicable Internet service provider or other organization, such as
business, has assigned the e-mail addresses for the domain associated with the submitted e-mail address.
RELEASE OF LIABILITY: By entering, entrant agrees to accept and abide by the rules of this Contest and agrees that any dispute with regard to the conduct of this
Contest, rule interpretation or award of prize, shall be resolved by the Sponsors, whose decision shall be binding and final. By participating, entrant agrees to release and hold harmless the
Sponsors and each of their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors, and the officers, directors, employees, agents and representatives
of any of the above organizations from any injury, loss or damage to person, including death or property damage due in-whole or in-part, directly or indirectly to the acceptance, use, or misuse
of a prize, participation in any Contest-related activity, or participation in the Contest. Sponsors are not responsible for any typographical or other error in the printing of this offer, administration
of the Contest or in the announcement of prizes, including such error as may give an erroneous indication that a prize has been won. In the event the Sponsors are prevented from continuing with
this Contest or the integrity and/or feasibility of the Contest is undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike,
act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, regional or local government
law, order or regulation, order of any court or jurisdiction, or other cause not reasonably within the Sponsor’s control (each a "Force Majeure" event), the Sponsors shall have the
right, in their sole discretion, to abbreviate, modify, suspend, cancel or terminate the Contest without notice or further obligation. If the Sponsors, in their discretion, elect to abbreviate
the Contest as a result of a Force Majeure event, the Sponsors reserve the right, but shall have no obligation, to award the prize from among all valid and eligible entries received up to the
time of such Force Majeure event. All entries are the property of the Sponsors and are not returnable.
